These Terms of Service ("Terms") govern your access to and use of the Autonium platform ("Platform"), operated by Autonium ("we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Platform, you confirm that you are at least 18 years old, have the legal capacity to enter into these Terms, and agree to comply with all applicable laws and regulations. If you do not agree to these Terms, do not use the Platform.

2. Description of Service

Autonium is an AI-powered research and monitoring platform for self-directed investors. The Platform provides tools for stock and cryptocurrency research, portfolio tracking, signal analysis, sentiment monitoring, and AI-assisted analysis. Autonium is not a broker, dealer, financial advisor, or registered investment advisor.

3. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscriptions and Billing

Plans and Pricing

Autonium offers a single paid plan at $49 per month or $490 per year. New members get 30 days free and no payment method is required to start the trial — the trial simply ends unless you choose to continue. Billing begins only after you add a payment method and the trial period ends. Legacy subscribers on discontinued plans remain at their original price unless they change plans.

Billing

• Free trials require no payment method. Billing starts only if you add one, and your subscription then renews automatically at the end of each billing period unless canceled.
• For annual plans, you will be charged the full annual amount at the beginning of each billing period.
• We use Stripe to process payments. Your payment information is subject to Stripe's terms and privacy policy.

Cancellation and Refunds

• You may cancel your subscription at any time through your account settings.
• Upon cancellation, you will retain access until the end of your current billing period.
• We do not provide prorated refunds for partial billing periods unless required by law.

5. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Platform or its infrastructure
• Scrape, crawl, or use automated means to access the Platform without our written consent
• Redistribute, resell, or sublicense access to the Platform or its data
• Interfere with the Platform's operation or impose an unreasonable load on our infrastructure
• Use the Platform to provide investment advisory services to third parties
• Impersonate another person or misrepresent your affiliation with any entity

6. Intellectual Property

All content, features, and functionality of the Platform — including text, graphics, logos, software, algorithms, and AI models — are owned by or licensed to Autonium and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Platform without our prior written consent.

7. User Data and Content

You retain ownership of the data you input into the Platform (e.g., portfolio holdings, journal entries, notes). By using the Platform, you grant us a limited license to store, process, and display your data solely for the purpose of providing the service to you. We will not share your personal investment data with other users or third parties except as described in our Privacy Policy.

8. AI-Generated Content

The Platform uses artificial intelligence to generate analysis, summaries, and other content. AI-generated content:

• May contain errors, inaccuracies, or biases
• Should not be relied upon as the sole basis for any investment decision
• Does not constitute financial advice, investment advice, or any professional advice
• Is provided "as is" without any warranty of accuracy or completeness

9. No Investment Advice

The Platform does not provide investment advice, financial advice, tax advice, or legal advice. All information, data, signals, scores, analysis, and AI-generated content on the Platform are for informational and educational purposes only. Nothing on the Platform should be construed as a recommendation to buy, sell, or hold any security, cryptocurrency, or other financial instrument. You are solely responsible for your own investment decisions. Always consult with a qualified financial advisor before making investment decisions.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTONIUM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF INVESTMENT, OR FINANCIAL LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Autonium, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause and with or without notice, if we believe you have violated these Terms or if required by law. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination will survive, including Sections 6, 9, 10, 11, 12, and 14.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and, where appropriate, by email. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
